Introduction
Commercial law is one of the most complex branches of law, which includes many different aspects. Each of the characteristics must be considered when drafting various contracts and agreements to avoid misunderstandings between the parties in the future (Cranston, 2021). The case outlines the case of three parties, namely Robin Hood, the business owner, and his student John, who decided to take lessons from him. Also, a third party is the Sheriff, who, by agreement, accepted Robin and John’s contract. Although the contract was concluded between Robin and John, because of the agreement between John and the Sheriff, Robin Hood is obliged to bear responsibility and train the Sheriff.
A Contract Case
Basically, contracts are not protected from the encroachments of third parties; that is, the confidentiality of the agreement is not considered when drafting contracts. Robin Hood is obliged to fulfill the terms of the contract since this contract was transferred by assignment of rights. It is likely that the agreement also does not indicate that Robin is not responsible for the transfer of rights under the contract to third parties. That is, he is obliged to be accountable to the Sheriff as well as he was responsible to John.
Conclusion
In conclusion, Robin Hood should be responsible for the contract with John, even though he handed it over to the Sheriff. This is due to several obligations under the contract and the absence of additional clauses canceling or limiting the validity of the agreement. Robin Hood should be responsible for the contract even if the Sheriff files an indefinite lawsuit for refusing to fulfill the contract. It is very important to think through each clause of the agreement in advance in order to avoid unforeseen situations and disputes.
