This means they have a right to the company’s assets and earnings after all other obligations have been met. According to the latest financial statements, McDonald’s Corporation has 14,351,001 shares outstanding in JPMorgan Chase & Co. (Yahoo Finance, 2024). These shares represent common stock, which is the most common type of stock issued by companies.
Common stock shows ownership in the company and allows shareholders to vote on matters during annual meetings. The balance sheet indicates that standard stock value is a significant component of total shareholders’ equity, totaling $4,177,432,828 (Yahoo Finance, 2024). 14,351,001 is the number of common shares outstanding, indicating how many are held by individual investors at the moment.
Presence of Treasury Stock
The financial statements were re-examined to improve understanding of the current position of the company’s shares. It was observed that McDonald’s Corporation has treasury stock amounting to $8,547,100 (Yahoo Finance, 2024). These are shares that the company has repurchased from the open market and are not considered outstanding shares. When a company buys back its shares, it commonly reduces stockholders’ equity.
Hence, McDonald’s will have to consider share buybacks, which may be seen as part of its strategy to increase shareholder value. Companies can engage in share buybacks for various reasons, such as demonstrating confidence in a company’s prospects, supporting a stock price, or using excess cash in a tax-effective manner. The stated value of treasury stock is $8,547,100, representing the amount McDonald’s paid for its shares. There are several likely explanations for why certain companies have no such thing as treasury stock.
Notes to the Financial Statements
Convertible bonds are debt instruments that allow bondholders to convert their bonds into a predetermined number of common shares. The notes do not have convertible bonds, so it is essential to consider why (McDonald’s Corporation, 2022). Nonetheless, there are several reasons why McDonald’s Corporation may choose to issue convertible bonds in the future.
Convertible bonds offer a blend of debt and equity to raise capital and enable bondholders to convert them into equity. Consequently, this feature may be enticing in different market environments. Including conversion features can attract a broader investor base, including those interested in the company’s growth prospects.
One helpful feature of convertible bonds is their conversion right, which impacts a firm’s stock price. When the stock does well, bondholders could convert, leading to more outstanding shares and potentially propping up the share price. By issuing convertible bonds, firms can strategically manage capital structure.
New Stock, Reissuing Treasury Stock, and Issuing Convertible Bonds
The company can raise capital by selling ownership stakes through the issuance of new stock. This can be used for funding expansion, research and development, debt reduction, or other strategic initiatives. Unlike debt instruments, equity securities do not require periodic interest payments or principal repayment (McDonald’s Corporation, 2023). This is because it allows the company to address many financial problems without incurring additional expenses during economic uncertainty. Reissuing treasury stock allows a company to use previously repurchased shares for employee stock option plans, acquisitions, or other strategic investments.
On the other hand, an increase in outstanding shares from reissuing treasury stock, like issuing new stock, dilutes existing shareholders’ holdings (McDonald’s Corporation, 2022). Convertible bonds create a hybrid form of financing in which the company initially receives debt funding, but bondholders can convert it into equity. Conversion may result in additional shares being issued, thereby diluting existing shareholders’ holdings.
Recommendations
The company could think about increasing its capital by issuing new ordinary shares. This will be especially useful when financing is needed for good investment opportunities or strategic initiatives (Ferine et al., 2023). McDonald’s, for instance, may consider selling 1 million common shares at $150 per share. Therefore, the impact on cash would be an inflow of $150m.
Another option is to analyze the feasibility of offering preferred stock to investors seeking fixed dividends. This could be attractive if it intends to raise funds without diluting voting rights. For example, McDonald’s may issue and sell 500,000 preference shares, paying a fixed dividend of $5 per share each year. Consequently, $2.5m will flow into the company annually.

The recommendations in this report advocate a more nuanced approach to capital structure management that considers each instrument’s specific features. When issuing new common stock, preferred stock, convertible bonds, or reissuing treasury stock, the organization should be careful not to destroy shareholders’ wealth. McDonald’s can position itself well in the marketplace by employing these fiscal strategies, provided they are consistent with the company’s long-term goals. Therefore, they will also enable it to navigate the intricacies of the financial landscape and achieve a strong market position.
